Zac Appointments LLC is a tech company dedicated to enriching people’s decision-making abilities by combining the power of artificial intelligence and human insight. At Zac Appointments, we offer innovative AI technology products, protected by patents, that enable large-scale text conversations with consumers. Our products utilize natural language understanding, data analysis, and personalization to engage consumers in the purchasing process before they even interact with a sales representative.
By using our services, you give Zac Appointments LLC permission to contact you through marketing, transactional, and informational messages related to real estate transactions. While the frequency of messages may vary, you should expect no more than one message per week. Please note that standard message and data rates may apply.
We may reach out to you using different communication methods, including text messages, phone calls, pre-recorded messages, or artificial voice messages, initiated through our phone system, Customer Relationship Management (CRM), or Automatic Telephone Dialing System (ATDS). These communications may involve providing additional information, scheduling appointments, presenting special offers, or making property offers based on your query.
By contacting Zac Appointments LLC using your own phone number, you acknowledge that you have the option to opt-out of our services at any time by texting ‘STOP’. This consent remains valid regardless of your number’s presence on any Federal, State, and/or internal Do Not Call (DNC) list or registries. Additionally, you confirm that you are at least 18 years old.
In these Terms of Use, Zac Appointments LLC refers to itself as “we”, “us”, “our”, and “Zac Appointments”, and the terms “you”, “your” and “user” refer to the user of the Zac Appointments services. Zac Appointments services include both phone-based and text-based services (the “Zac Appointments mobile services”) and website and web app-based services (the “Zac Appointments web app”), as well as various websites, applications, web applications, text messages, email notifications, and other mediums provided by Zac Appointments.
Zac Appointments reserves the right to modify these Terms of Use at any time and for any reason, without providing specific notice to users. The updated Terms of Use will be effective immediately upon posting on the Zac Appointments website, and it is the user’s responsibility to review the updated terms periodically.
By using the Zac Appointments services, you agree to be bound by these Terms of Use. If you are using the services on behalf of an organization, you agree to these Terms of Use on behalf of that organization, and you represent that you have the authority to bind the organization to these terms. If the organization has a separate agreement with Zac Appointments covering the use of the services, that agreement will govern such use.
By accessing and using the Zac Appointments services, whether as an individual or on behalf of an organization, you acknowledge that these Terms of Use are supported by reasonable and valuable consideration. This includes your ability to use, submit information to, or receive information from the Zac Appointments services. You also represent that you have the legal capacity to be bound by these agreements, or if you are acting on behalf of an entity, you have the authority to bind that entity to these agreements.
When you use the Zac Appointments services, you acknowledge and agree that you may receive phone calls and text messages from Zac Appointments. You authorize Zac Appointments and its Service Providers to contact you by phone or text message using the wireless phone number you provide or any other phone number you provide in the future. You acknowledge that message and data rates may apply and agree that you may receive auto-generated text messages or calls from an automated telephone dialing system, even if you have registered your phone number on a Do-Not-Call registry. Your consent to receive text messages and calls is not a condition of using the Zac Appointments services. If you do not wish to receive these calls or text messages, you should not use the Zac Appointments services or provide your contact information to Zac Appointments.
You agree to indemnify Zac Appointments’s Service Providers for any claims, expenses, and damages resulting from your failure to notify them if you change your wireless phone number, including claims arising under the Telephone Consumer Protection Act (TCPA). You agree to promptly notify Service Providers if you change your phone number. You may revoke your consent to receive calls by requesting to be placed on an internal Do Not Call list and text messages by responding with STOP. However, this authorization cannot be revoked to the extent that action has already been taken in reliance on this authorization.
In the event of a dispute between you and Zac Appointments, both parties agree to resolve the dispute through binding arbitration. By accepting these Terms, you waive the right to have disputes decided by a judge or jury. You have the option to opt-out of the agreement to arbitrate. Please refer to the Legal Disputes section below for more information.
The Zac Appointments services are intended for adults only and are not directed at minors. Zac Appointments does not knowingly collect personally identifiable information from anyone under the age of 13, and you should not provide any information regarding individuals under 13 years old. The Zac Appointments services are only to be used by citizens and residents of the United States and Canada.
It is important to carefully review these Terms as they become a binding legal commitment once accepted through your use of the Zac Appointments services. If you do not agree to these Terms, do not use the Zac Appointments services.
Zac Appointments LLC maintains the right to update its terms of service, with any revisions replacing previous versions. These changes will take effect from the date specified in the updated terms, unless otherwise stated. If there are significant alterations to the terms, Zac Appointments will notify you through its app, via text message, or by phone call. Minor changes will be reflected in the effective date at the top of the terms of service page.
It’s advisable to check the effective date of the terms of service each time you use the Zac Appointments website or mobile app. Your continued use of Zac Appointments services implies acceptance of any changes, whether significant or minor. If you disagree with the alterations, you should discontinue using Zac Appointments services.
To utilize Zac Appointments services, you’ll need to provide your mobile phone number and consent to receiving voice calls and/or text messages, even if your number is on a Do-Not-Call registry. Additionally, Zac Appointments may request other personal information, such as your email or physical address. It’s your responsibility to provide accurate and up-to-date information about yourself.
Access to and use of Zac Appointments services is personal and non-transferable. You may only use Zac Appointments services for lawful purposes and in accordance with the provided terms and privacy policy.
You’re solely responsible for any activity associated with your mobile phone number on Zac Appointments services, including the integrity of your User Data. You must prevent unauthorized access or use of Zac Appointments services and promptly inform Zac Appointments of any such unauthorized use.
Zac Appointments does not guarantee the availability of its services. While efforts will be made to maintain service availability, there are no assurances of uninterrupted access.
By using Zac Appointments services, you agree to abide by the terms and privacy policy. Violations, including actions that hinder access, use, or enjoyment of Zac Appointments services, are strictly prohibited and may lead to loss of access rights. Modifying, scraping, embedding, or framing Zac Appointments services without prior written consent is not permitted.
Zac Appointments reserves the right to discontinue services to any user or group of users at its discretion, without prior notice.
Zac Appointments LLC is not liable for the accessibility or unavailability of any service provider or for any interactions and transactions you have with them. By using Zac Appointments services, you waive any right to bring claims against Zac Appointments related to your interactions with service providers and release Zac Appointments from any liability in connection with such interactions. Zac Appointments may exclude service providers from appearing in search results on its website for failing to meet specific standards regarding conduct and performance. Additionally, Zac Appointments may, at its sole discretion, conduct criminal and/or financial background checks on certain service providers, but this does not waive any disclaimers or limitations of liability.
Regarding health-related providers, the information provided on the Zac Appointments website, including text, graphics, images, and information from various sources, is for informational purposes only and not a substitute for professional medical advice, diagnosis, or treatment. Users should consult a qualified healthcare professional for any medical concerns and should never delay seeking professional medical advice based on information obtained from the Zac Appointments website. Service providers are solely responsible for the services they provide, and Zac Appointments is not liable for any losses, costs, damages, or claims arising from or related to the user’s use of a service provider’s products or services. Users are advised to seek advice from qualified professionals before making financial decisions. Zac Appointments does not charge users for its services but may receive fees from service providers. By using Zac Appointments services, users release Zac Appointments from liability for any losses, costs, damages, or claims related to their use of a service provider’s products or services.
If users transmit, submit, or post information to Zac Appointments services, they grant Zac Appointments the right and license to use, copy, publish, and incorporate such information into Zac Appointments content. This includes federally trademarked or copyrighted information, for which users grant Zac Appointments the right to use without compensation.
You are not allowed to transmit, submit, or post any information that infringes on Zac Appointments LLC’s copyright, patent, trademark, trade secret, or other proprietary rights. Additionally, you must not violate any laws or regulations, post defamatory, obscene, explicit, vulgar, or injurious content, share viruses or other harmful code, send spam, provide false or misleading information, or promote commercial advertisements without written permission from Zac Appointments.
Zac Appointments reserves the right to edit, reject, or remove any transmissions, submissions, or postings that violate these terms. You are solely responsible for all content you transmit, submit, or post.
Your data usage by Zac Appointments is governed by the Privacy Policy, which outlines how your data is collected, stored, and utilized. By using Zac Appointments services, you agree to the Privacy Policy. If you disagree with it, you must stop using Zac Appointments services immediately. Zac Appointments may use or disclose your data for various purposes, such as providing services, addressing technical issues, protecting users, responding to emergencies, or complying with the law.
You have instructed Zac Appointments to utilize and disclose your data for purposes related to providing services, subject to the Privacy Policy and these terms. These purposes include providing services, preventing security incidents or fraud, responding to technical issues, protecting users, complying with the law, and responding to emergencies.
By using Zac Appointments services, you agree to certain restrictions and requirements. You agree not to transfer, resell, lease, or license Zac Appointments services. You are responsible for ensuring Zac Appointments has the right to use your data for its services. Additionally, you must not use Zac Appointments services in any manner that violates applicable laws or reverse engineer any provided software.
While using Zac Appointments services, you may receive opportunities from Zac Appointments’ network of service/lead partners, and Zac Appointments may receive compensation for leads made to them. Any products or services you purchase from these partners are not Zac Appointments’ products or services. If you accept a lead to one of these partners, you permit Zac Appointments to share your information with them. Zac Appointments is not responsible for these partners’ products or services, and any claims regarding them should be directed to the respective partner.
Ownership and confidentiality are important to Zac Appointments, and it respects your confidential information. Feedback provided to Zac Appointments may be used by Zac Appointments. Both parties agree not to disclose confidential information without written consent, except as permitted by these terms.
Zac Appointments services are provided “as is” without warranties. Zac Appointments will not pay for any claims arising from your use of its services and you agree to indemnify Zac Appointments against such claims. Zac Appointments shall not be liable for any claims, damages, or losses related to your use of its services, and you agree to defend, indemnify, and hold Zac Appointments harmless from any claims brought by related to your breach of these terms or your use of Zac Appointments services.
As a condition of your indemnification obligations:
- Zac Appointments will promptly notify you of any claim. However, failure to provide notice won’t relieve you of your obligations unless you’re materially prejudiced by the failure.
- You have the sole authority to defend or settle any claim. Zac Appointments’s consent is required for any act or forbearance, which won’t be unreasonably withheld.
- Zac Appointments will reasonably cooperate with you in connection with your defense, at your expense. You reserve the right, at your expense, to participate in the defense.
You agree to indemnify Zac Appointments against any losses following notice of the claim. You will not settle any claims admitting liability or fault on behalf of Zac Appointments without Zac Appointments’s prior written consent.
Limitation of Liability:
Indirect Damages: Neither party will be liable to the other for any indirect, special, incidental, consequential, or punitive damages of any nature.
Direct Damages: Neither party will be liable for any direct damages, costs, or liabilities exceeding the amounts paid or payable by you during the twelve months preceding the incident or claim.
Term; Suspension: These Terms will remain in effect until terminated. Zac Appointments reserves the right to suspend services immediately for cause.
Compliance with Laws: Both parties will comply with applicable laws.
No Waiver: Failure to enforce any provision doesn’t waive the right to do so later. Waivers must be in writing and signed by both parties.
Assignment: You cannot assign or transfer these Terms without Zac Appointments prior written consent.
Unenforceability: If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the rest of the Terms will remain in full force and effect.
Notices: Notices must be provided in writing.
Entire Agreement: These Terms supersede all prior agreements.
Force Majeure: No failure, delay, or default will be considered a breach if it arises from causes beyond the affected party’s control.
Governing Law and Venue: These Terms will be governed by the laws of Illinois. Any legal proceedings will be brought in the state or federal courts of Illinois, except as provided in the Arbitration section.
Arbitration Agreement:
Before taking any legal action, we encourage customers to reach out to Zac Appointments LLC Customer Support to resolve disputes amicably. If the issue remains unresolved, both the customer and Zac Appointments LLC agree to settle any dispute related to the Terms or Zac Appointments LLC services through binding arbitration in Chicago, Illinois, or at a location agreed upon by both parties.
This agreement covers all claims under any legal theory and remains applicable even after the customer has ceased using Zac Appointments LLC services. Disputes regarding the enforceability or applicability of this arbitration agreement will be decided by the arbitrator.
By agreeing to this Arbitration Agreement, both parties waive their right to have a judge or jury resolve any dispute arising from or related to the Terms or Zac Appointments LLC services.
Exceptions to this agreement include disputes concerning intellectual property, such as trademarks, trade dress, domain names, trade secrets, copyrights, or patents of either party.
If one party brings a claim in court that should be arbitrated or refuses to arbitrate a claim that should be arbitrated, the other party can request a court to compel arbitration to resolve the claim. Any party can also request a court to stay a court proceeding while arbitration is ongoing.
Before initiating arbitration, both parties must attempt to resolve the dispute through mediation conducted by the American Arbitration Association (AAA). If mediation fails, either party may begin arbitration proceedings with AAA. The arbitration will be governed by AAA’s Commercial Arbitration Rules and presided over by a single arbitrator appointed in accordance with the Rules. Each party will have access to non-privileged relevant documents in the possession or control of the other party and the opportunity to take a reasonable number of depositions. The arbitrator will adhere to the Rules and the provisions of this Arbitration Agreement in case of any conflict.
This Arbitration Agreement does not affect the statute of limitations for any claims or counterclaims. The arbitrator’s decision will be based on admitted evidence and the substantive law of the State of Illinois and the United States, with an award issued for each issue and counterclaim. The arbitrator’s decision will be final and binding, except as provided in the Federal Arbitration Act, and may be entered in any court of competent jurisdiction.
Both the customer and Zac Appointments LLC agree that any claims or disputes between them must be pursued on an individual basis only. The arbitrator cannot consolidate multiple claims into a single case or preside over any consolidated, class, or representative proceedings unless both parties agree otherwise. If a court determines that the Class Action Waiver provision is unenforceable, the entire Arbitration Agreement will be null and void, but the rest of the Terms will remain in effect.
